Henhouse - Terms of Service

1. Introduction and Acceptance
Welcome to Henhouse. These Terms of Service govern your use of our cloud computing and hosting services. By creating an account or using our services, you agree to these terms. If you don't agree, please don't use our services.
Throughout these terms, "Henhouse," "we," "us," and "our" refer to the service provider. "You" and "your" refer to the person or organization using our services.
These terms apply to users in the United States, Canada, and the European Union. Where laws differ between jurisdictions, the specific provisions for your location will apply and are noted throughout these terms.
2. Services We Provide
Henhouse provides cloud computing services, including:
- Infrastructure services: virtual private servers, compute resources, storage, and networking
- Managed services: databases, mail servers, application hosting, and other pre-configured software
- Related tools and features that help you manage your services
We may add, modify, or discontinue features at any time. If we make major changes that significantly impact your use of the service, we'll give you reasonable notice.
3. Your Account
3.1 Account Registration
To use our services, you need to create an account. You must provide accurate and complete information during registration and keep your account information up to date. You're responsible for all activity that happens under your account.
3.2 Account Security
You're responsible for:
- Keeping your password and authentication credentials secure
- Notifying us immediately if you suspect unauthorized access to your account
- All actions taken using your account, whether or not you authorized them
3.3 Eligibility
You must be at least 18 years old to create an account. If you're creating an account on behalf of an organization, you represent that you have the authority to bind that organization to these terms.
4. Acceptable Use Policy
You may use our services for lawful purposes only. You agree not to:
- Violate any applicable laws or regulations
- Infringe on anyone's intellectual property rights
- Distribute malware, viruses, or other harmful code
- Send spam or engage in phishing activities
- Attempt to gain unauthorized access to our systems or other users' accounts
- Use our services to harm, threaten, or harass others
- Mine cryptocurrency without our explicit written permission
- Engage in any activity that could damage, disable, or impair our infrastructure
If we discover that you're violating this policy, we may suspend or terminate your account immediately without prior notice.
5. Payment Terms
5.1 Fees
Our current pricing is available on our website. You agree to pay all fees associated with your use of our services. Fees are typically billed monthly in advance, unless otherwise specified in your service plan.
5.2 Payment Methods
You can pay via credit card, ACH transfer, or other payment methods we accept. You authorize us to charge your payment method for all fees you incur. If a payment fails, we'll attempt to notify you and may suspend your services until payment is received.
5.3 Price Changes
We may change our prices from time to time. We'll give you at least 30 days' notice before any price increase takes effect. If you don't agree with a price increase, you can cancel your service before it takes effect.
5.4 Refunds
We generally don't provide refunds for prepaid services. However, we may issue prorated refunds or credits at our discretion if we fail to meet our service level commitments or in other exceptional circumstances.
For EU Users: If you're a consumer in the European Union, you have the right to withdraw from this contract within 14 days of account creation without giving any reason. However, if you begin using our services during this period, you acknowledge that you're requesting early performance and you may be charged for services provided up to the point of withdrawal. 5.5 Taxes
You're responsible for all applicable taxes related to your use of our services, except for taxes based on our net income. We may collect applicable taxes if we're legally required to do so.
6. Service Availability and Support
6.1 Uptime
We strive to maintain high availability of our services, but we can't guarantee 100% uptime. Scheduled maintenance, emergency repairs, and factors beyond our control may cause temporary service interruptions. We'll make reasonable efforts to notify you in advance of scheduled maintenance.
6.2 Support
We provide technical support through our ticketing system and other channels described on our website. Support response times vary based on your service plan and the severity of the issue.
6.3 Service Limitations
Your service plan may include limits on storage, bandwidth, compute resources, or other features. If you exceed these limits, we may charge overage fees, throttle your service, or ask you to upgrade your plan.
7. Your Data and Privacy
7.1 Your Data
You retain all ownership rights to the data you store on our services. By using our services, you grant us the right to store, process, and transmit your data solely to provide and maintain the services you've requested.
7.2 Data Security
We implement reasonable security measures to protect your data. However, no system is completely secure. You're responsible for maintaining backups of your important data. We're not responsible for data loss, though we'll make reasonable efforts to help you recover data when possible.
7.3 Privacy and Data Protection
Our Privacy Policy describes how we collect, use, and share your information. By using our services, you agree to our Privacy Policy.
For EU Users: We comply with the General Data Protection Regulation (GDPR). You have the right to access, rectify, erase, restrict processing of, object to processing of, and port your personal data. You also have the right to lodge a complaint with your local data protection authority. To exercise these rights, contact us at privacy@henhouse.coop.
For Canadian Users: We comply with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and provincial privacy legislation where applicable. 7.4 International Data Transfers
Henhouse may store and process your data in data centers located in the United States, Canada, and the European Union. By using our services, you consent to the transfer of your data across these jurisdictions.
For EU Users: When we transfer your personal data outside the European Economic Area, we ensure appropriate safeguards are in place, such as standard contractual clauses approved by the European Commission or other legally recognized transfer mechanisms.
For Canadian Users: When we transfer your personal data outside Canada, we ensure that your information receives a comparable level of protection through contractual or other legally recognized means.
7.5 Data Processing for Business Customers
If you're a business customer who processes personal data of others using our services (making you a "data controller" under GDPR or similar laws), you're responsible for complying with all applicable data protection laws. You represent that you have obtained all necessary consents and have the legal right to process the personal data you store on our services.
For EU Business Customers: Where you're a data controller subject to GDPR, we act as a data processor. A separate Data Processing Agreement (DPA) with standard contractual clauses is available upon request and forms part of these terms for customers who process personal data of EU residents.
7.6 Data Retention and Deletion
When you delete data or terminate your account, we'll delete your data from our active systems within a reasonable time period. However, data may persist in backups for up to 90 days. We may also retain data as required by law or for legitimate business purposes.
For EU Users: You have the right to erasure ("right to be forgotten") under certain circumstances as defined by GDPR. Contact us to exercise this right.
8. Intellectual Property
8.1 Our Property
Henhouse owns all rights to our services, software, documentation, and related materials. These terms don't grant you any ownership rights to our intellectual property. You may use our services only as permitted by these terms.
8.2 Your Property
You retain all intellectual property rights to the content and applications you create using our services. You're responsible for ensuring you have the right to use and host any content you place on our services.
8.3 Feedback
If you provide us with feedback, suggestions, or ideas about our services, we may use that information freely without any obligation to you.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, HENHOUSE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES ARISING FROM YOUR USE OF OUR SERVICES.
OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF OUR SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO LIABILITY.
WE PROVIDE OUR SERVICES "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
Important Jurisdictional Notes:
Nothing in these terms excludes or limits our liability for:
- Death or personal injury caused by our negligence
- Fraud or fraudulent misrepresentation
- Any liability that cannot be excluded or limited under applicable law
For EU Users: If you're a consumer in the European Union, these liability limitations apply only to the extent permitted by EU consumer protection law. Your statutory rights as a consumer are not affected by these terms.
For Canadian Users: If you're a consumer in Canada, these liability limitations apply only to the extent permitted by applicable provincial and federal consumer protection legislation. Your statutory rights as a consumer are not affected by these terms.
10. Indemnification
To the extent permitted by law, you agree to defend, indemnify, and hold harmless Henhouse and its affiliates from any claims, damages, losses, and expenses (including reasonable attorney fees) arising from:
- Your use of our services
- Your violation of these terms
- Your violation of any law or regulation
- Your infringement of any third party's rights
For EU and Canadian Consumers: If you're using our services as a consumer (not for business purposes), this indemnification obligation applies only to the extent permitted by applicable consumer protection law in your jurisdiction.
11. Termination
11.1 Termination by You
You can cancel your account at any time through your account dashboard or by contacting our support team. You'll remain responsible for any fees incurred before cancellation.
11.2 Termination by Us
We may suspend or terminate your account if:
- You violate these terms
- Your account is delinquent on payment
- We're required to do so by law
- We decide to discontinue our services (with reasonable notice)
11.3 Effect of Termination
When your account is terminated, your right to use our services ends immediately. We'll make your data available for download for 30 days after termination, after which we may delete it. Provisions of these terms that should reasonably survive termination will continue to apply.
12. Changes to These Terms
We may modify these terms from time to time. If we make material changes, we'll notify you by email or through our website at least 30 days before the changes take effect. Your continued use of our services after the changes take effect means you accept the new terms.
If you don't agree with the changes, you can terminate your account before they take effect.
13. Dispute Resolution and Governing Law
13.1 Informal Resolution
If you have a dispute with us, please contact our support team first. We'll work with you in good faith to resolve the issue.
13.2 Governing Law and Jurisdiction
The governing law and dispute resolution process depends on your location:
For United States Users:
These terms are governed by the laws of the state where Henhouse is registered, without regard to conflict of law provisions. If we can't resolve a dispute informally, you agree that any legal dispute will be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration will take place in the state where Henhouse is registered. You and Henhouse agree to waive any right to a jury trial.
You and Henhouse agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.
For Canadian Users:
These terms are governed by the laws of the province or territory in which you reside, and the federal laws of Canada applicable therein. Any disputes that cannot be resolved informally will be subject to the exclusive jurisdiction of the courts in your province or territory of residence.
If you're a consumer in Quebec, you benefit from the mandatory consumer protection provisions of Quebec law, and nothing in these terms limits those protections.
For EU Users:
If you're a consumer in the European Union, these terms are governed by the laws of the EU member state in which you're resident, and you benefit from any mandatory provisions of the law of that country. Nothing in these terms affects your rights as a consumer under EU law or the law of your country of residence.
Any disputes will be subject to the jurisdiction of the courts in the EU member state where you're resident. You may also use the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
The arbitration and class action waiver provisions that apply to US users do not apply to EU or Canadian users.
14. General Provisions
14.1 Language
These terms are provided in English. Translations may be available for your convenience, but in case of any conflict, the English version prevails to the extent permitted by law.
For Quebec Users: If you're a consumer in Quebec, you have the right to receive this agreement in French. A French version is available upon request at support@henhouse.example.
14.2 Entire Agreement
These terms, along with our Privacy Policy and any service-specific agreements, constitute the entire agreement between you and Henhouse regarding our services.
14.3 Severability
If any provision of these terms is found to be unenforceable, the remaining provisions will continue in full effect.
14.4 Waiver
Our failure to enforce any right or provision of these terms doesn't constitute a waiver of that right or provision.
14.5 Assignment
You may not assign these terms without our written consent. We may assign these terms to any affiliate or in connection with a merger or sale of our business.
14.6 Force Majeure
Neither party will be liable for any failure to perform due to circumstances beyond their reasonable control, including natural disasters, war, terrorism, labor disputes, or internet service failures.
